Terms of Service

1. Acceptance of Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you ("you" or "user") and Ibi Pax Ltd. ("we", "our", or "us") governing your use of the Ibi Pax mobile application and website (collectively, the "Service").

By creating an account, downloading, or otherwise accessing or using the Service, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy, which is incorporated herein by reference.

If you are accessing or using the Service on behalf of an organisation, you represent that you have the authority to bind that organisation to these Terms.

2. Eligibility

You must be at least 13 years of age to use the Service. If you are under 18 (or the age of majority in your jurisdiction), you must have the consent of a parent or legal guardian to use the Service. If you reside in the European Union, the minimum age of digital consent may be up to 16, depending on your country.

By using the Service, you represent and warrant that you meet the applicable age requirements. If we learn that we have collected personal data from a child under 13 without parental consent, we will promptly delete that information.

3. Description of Service

Ibi Pax is a Catholic spiritual companion app that provides access to saints' stories, prayers, sacred music, meditations, spiritual readings, sacred art, and an AI-powered spiritual guide (the "Celestial Guide"). The Service is designed to help users explore and engage with the two-thousand-year spiritual heritage of the Catholic Church.

We reserve the right to modify, suspend, or discontinue any part of the Service at any time, with or without notice. We shall not be liable to you or any third party for any modification, suspension, or discontinuation of the Service. We reserve the right to discontinue the Service in its entirety at any time, without liability.

4. Your Account

To access certain features of the Service, you may be required to create an account. You agree to:

• Provide accurate, current, and complete information during registration.
• Keep your account credentials secure and confidential.
• Notify us immediately of any unauthorised use of your account.
• Accept responsibility for all activity that occurs under your account.

We reserve the right to suspend or terminate your account if any information you provide is found to be inaccurate, misleading, or in violation of these Terms.

5. Subscriptions and Payments

Certain features of the Service may require a paid subscription. If you choose to subscribe:

• Billing: All payments are processed through the Apple App Store or Google Play Store. By subscribing, you agree to the payment terms presented to you at the time of purchase, as well as the applicable store's terms of service.
• Recurring charges: Subscriptions automatically renew at the end of each billing period (monthly or annually) unless you cancel before the renewal date.
• Cancellation: You may cancel your subscription at any time through your device's app store settings. Cancellation takes effect at the end of the current billing period, and you will continue to have access to paid features until then.
• Refunds: All payments are non-refundable, except as required by applicable law or the refund policies of the Apple App Store or Google Play Store. We do not process refunds directly.
• Price changes: We may change subscription prices from time to time. Any price change will take effect at the start of the next billing period following notice to you.

Lifetime Subscriptions

If you purchase a lifetime subscription, it grants you access to the paid features of the Service for as long as the Service remains available. However, we make no warranties or representations that any features included in the lifetime subscription will continue to be available for any particular period of time. In particular, we:

• Do not guarantee the duration of the Service or any of its features.
• May modify, suspend, or discontinue any features at any time, with or without notice.

Lifetime access does not guarantee continued availability of any specific feature or the Service itself. Lifetime subscriptions are non-transferable and may not be shared across multiple accounts. You acknowledge that Ibi Pax Ltd. may terminate your lifetime subscription at any time if you violate any of these Terms of Service.

6. User Conduct

You agree to use the Service only for lawful purposes and in accordance with these Terms. You agree not to:

• Use the Service in any way that violates any applicable law or regulation.
• Attempt to gain unauthorised access to any part of the Service, other users' accounts, or any systems or networks connected to the Service.
• Use the Service to transmit any harmful, threatening, abusive, harassing, defamatory, or otherwise objectionable content.
• Interfere with or disrupt the Service or the servers and networks that host it.
• Use any automated means (including bots, scrapers, or spiders) to access or collect data from the Service without our prior written consent.
• Reproduce, duplicate, copy, sell, resell, or otherwise exploit any portion of the Service for commercial purposes without our express permission.
• Reverse-engineer, decompile, disassemble, or attempt to derive the source code of the app.

7. AI-Powered Features (Celestial Guide)

The Service includes the Celestial Guide, an AI-powered spiritual companion. By using this feature, you acknowledge and agree to the following:

Not a substitute for professional guidance

The Celestial Guide is an AI tool designed to assist with questions about Catholic faith, prayer, and tradition. It is not a substitute for the guidance of ordained clergy, licensed counsellors, medical professionals, or any other qualified professional. You should not rely on AI-generated responses for decisions regarding your physical or mental health, legal matters, financial affairs, or any situation requiring professional expertise.

No guarantee of accuracy

While the Celestial Guide is designed to be faithful to Catholic teaching and the Magisterium, AI-generated content may occasionally contain errors, inaccuracies, or incomplete information. We make reasonable efforts to ensure quality, but we do not warrant that all responses will be accurate, complete, or current.

Third-party processing

Messages sent to the Celestial Guide are processed by a third-party AI provider (Anthropic). Please refer to our Privacy Policy for details on how your data is handled in connection with this feature.

Appropriate use

You agree to use the Celestial Guide respectfully and in accordance with its intended purpose as a spiritual resource. We reserve the right to limit or restrict access to this feature if it is misused.

8. Intellectual Property

All content, features, and functionality of the Service — including but not limited to text, graphics, images, icons, audio, music playlists, curated artwork descriptions, software, and design — are the property of Ibi Pax Ltd. or its licensors and are protected by international copyright, trademark, and other intellectual property laws.

You are granted a limited, non-exclusive, non-transferable, revocable licence to access and use the Service for your personal, non-commercial purposes, subject to these Terms. This licence does not include the right to:

• Modify, reproduce, or distribute any content from the Service.
• Use the Service's content to create derivative works.
• Remove any copyright, trademark, or other proprietary notices from the Service.

The name "Ibi Pax", the Ibi Pax logo, and all related names, logos, product and service names, designs, and slogans are trademarks of Ibi Pax Ltd. You may not use them without our prior written permission.

9. User Content

If the Service allows you to submit, post, or share content (such as prayer intentions, notes, or messages), you retain ownership of any intellectual property rights you hold in that content. However, by submitting content through the Service, you grant us a worldwide, non-exclusive, royalty-free licence to use, store, and process that content solely for the purpose of operating and improving the Service.

You are solely responsible for the content you submit and represent that you have all necessary rights to do so. We reserve the right to remove any content that violates these Terms or that we find objectionable, at our sole discretion.

10. Third-Party Services and Links

The Service may contain links to, or integrate with, third-party websites, services, or content that are not owned or controlled by us. We are not responsible for the content, privacy policies, or practices of any third-party services. Your use of third-party services is at your own risk and subject to those third parties' terms and conditions.

Third-party services that the app may interact with include, but are not limited to, the Apple App Store, Google Play Store, and Anthropic (for the Celestial Guide feature).

11. Data, Service Availability, and Risk

We do not guarantee that:

• The Service will be uninterrupted or error-free.
• Data will be preserved without loss.
• Content will remain available.

You acknowledge that:

• Data may be lost, corrupted, or become inaccessible.
• You are responsible for maintaining your own backups where appropriate.

12. Disclaimers

THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not warrant that:

• The Service will be uninterrupted, timely, secure, or error-free.
• The results obtained from the use of the Service (including AI-generated content) will be accurate, reliable, or complete.
• Any errors in the Service will be corrected.

The spiritual content provided through the Service — including saints' stories, prayers, meditations, and AI-generated guidance — is offered for devotional and informational purposes only. It does not constitute official Church teaching, theological advice, or pastoral counsel, and should not be treated as such.

13. No Reliance and Nature of Content

The Service, including the Celestial Guide and all content provided therein:

• Does not constitute theological, pastoral, medical, psychological, legal, or financial advice.
• Does not represent official teachings or authority of the Catholic Church.
• Must not be relied upon for decision-making of any kind.

You acknowledge that any reliance on the Service is solely at your own risk.

14. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL IBI PAX LTD., ITS DIRECTORS, EMPLOYEES, PARTNERS, AGENTS, SUPPLIERS, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR RELATED TO:

• Your access to, use of, or inability to access or use the Service.
• Any conduct or content of any third party on the Service.
• Any content obtained from the Service, including AI-generated content.
• Unauthorised access, use, or alteration of your transmissions or content.

In no event shall our total aggregate liability for all claims arising out of or relating to the Service exceed the amount you have paid us in the twelve (12) months immediately preceding the event giving rise to the claim, or USD 50 (or equivalent in local currency), whichever is greater.

15. Indemnification

You agree to defend, indemnify, and hold harmless Ibi Pax Ltd. and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or in any way connected with:

• Your access to or use of the Service.
• Your violation of these Terms.
• Your violation of any third-party right, including any intellectual property or privacy right.
• Any content you submit through the Service.

16. Termination

We may terminate or suspend your access to the Service immediately, without prior notice or liability, for any reason, including if you breach these Terms. Upon termination:

• Your right to use the Service will immediately cease.
• We may delete your account and any associated data, subject to our Privacy Policy and applicable data retention obligations.
• All provisions of these Terms that by their nature should survive termination shall survive, including ownership provisions, warranty disclaimers, indemnity, and limitations of liability.

You may terminate your account at any time by deleting your account through the app or by contacting us. If you have an active subscription, please cancel it through your app store before deleting your account.

17. Governing Law and Disputes

These Terms shall be governed by and construed in accordance with the laws of the Hong Kong Special Administrative Region ("Hong Kong"), without regard to conflict-of-law principles.

Any dispute arising out of or relating to these Terms or the Service shall be subject to the exclusive jurisdiction of the courts of Hong Kong, except where mandatory consumer protection laws in your country of residence provide otherwise.

If you are a consumer in the European Union, you may also be entitled to use the European Commission's Online Dispute Resolution (ODR) platform, available at ec.europa.eu/consumers/odr.

18. Changes to These Terms

We reserve the right to modify these Terms at any time. When we make material changes, we will notify you by updating the "Effective Date" at the top of this page and, where appropriate, by providing notice through the app or by email.

Your continued use of the Service after revised Terms become effective constitutes your acceptance of the changes. If you do not agree to the revised Terms, you must stop using the Service and delete your account.

19. Force Majeure

We shall not be liable for any failure or delay in performing our obligations under these Terms resulting from causes beyond our reasonable control, including but not limited to:

• Natural disasters, epidemics, or pandemics.
• Cyberattacks, hacking, or distributed denial-of-service attacks.
• Infrastructure failures, including internet or power outages.
• Government actions, sanctions, embargoes, or regulatory changes.
• War, terrorism, civil unrest, or acts of God.

20. Electronic Communications

By using the Service, you consent to receive communications from us electronically, including via email, in-app notifications, or notices posted within the Service. You agree that all agreements, notices, disclosures, and other communications we provide electronically satisfy any legal requirement that such communications be in writing.

21. General Provisions

• Entire Agreement: These Terms, together with our Privacy Policy, constitute the entire agreement between you and Ibi Pax Ltd. regarding the Service.
• Severability: If any provision of these Terms is found to be unenforceable, the remaining provisions will remain in full force and effect.
• Waiver: Our failure to enforce any right or provision of these Terms shall not constitute a waiver of that right or provision.
• Assignment: You may not assign or transfer these Terms or your rights under them without our prior written consent. We may assign our rights and obligations under these Terms without restriction.
• No agency: Nothing in these Terms creates any agency, partnership, or joint venture between you and us.
